These Terms of Service (the "Terms") govern individual users' ("you", the "User") use of the Quorify platform (usequorify.com and its associated mobile app - the "Platform" or "Service"). Organization subscriptions are governed by the Organization Subscription Terms.
1. Acceptance
1.1. By creating an account or using the Platform, you confirm you have read, understood and accept these Terms, the Privacy Policy, the Cookie Policy and the Acceptable Use Policy. If you disagree, do not use the Platform.
2. Service description
2.1. Quorify is a management platform for student organizations, NGOs, federations and associations, offering member management, attendance, electronic voting, events, tasks and projects, recruitment, finances and communication.
2.2. The Service may evolve; we may add, modify or retire features.
3. Eligibility and account
3.1. You must be at least 18 years old. The Platform is not intended for minors.
3.2. You provide accurate information and keep it current.
3.3. You are responsible for keeping your credentials confidential and for all activity on your account; notify us promptly at contact@usequorify.com of unauthorized use. We recommend enabling two-factor authentication (2FA).
4. User conduct
4.1. You agree to comply with the Acceptable Use Policy and applicable law, and not to use the Service for illegal, fraudulent purposes or in ways that infringe others' rights.
5. User-generated content
5.1. You remain responsible for content you upload or submit and warrant you hold the necessary rights.
5.2. You grant Quorify a limited, non-exclusive license necessary to host, process and display the content within the Service.
5.3. Quorify may remove or restrict content that violates the Terms, AUP or law, or on a legitimate request.
6. Organizations and member data
6.1. When you join an organization, it becomes an independent controller of your member data, and its administrators may access it to administer the organization.
6.2. You may exercise your GDPR rights (access, rectification, erasure, etc.) toward the organization and, for your Quorify account, toward Quorify; see the Privacy Policy.
7. Intellectual property
7.1. The Platform, code, design, databases and Quorify marks are Quorify's exclusive property and legally protected. You acquire no rights in them except a limited right to use the Service under the Terms.
7.2. Any feedback may be freely used by Quorify without obligation.
8. Availability
8.1. The Service is provided "as is" and "as available", with no warranty of uninterrupted or error-free operation. We may perform maintenance or modify the Service.
9. Limitation of liability
9.1. To the maximum extent permitted by law, Quorify is not liable for indirect, incidental or consequential damages, for data loss, or for organizations' decisions about your data.
9.2. Nothing limits liability that cannot be excluded by law.
10. Indemnification
10.1. You agree to indemnify Quorify against third-party claims arising from your content or your breach of the Terms, AUP or law.
11. Suspension and termination
11.1. You may delete your account at any time in Settings.
11.2. Quorify may suspend or close accounts that violate the Terms, AUP or law, or where there is a security risk.
11.3. IP, limitation of liability, indemnity and governing-law clauses survive termination.
12. Changes
12.1. We may update the Terms; material changes are announced via the Platform and/or email, and continued use constitutes acceptance.
13. Governing law and disputes
13.1. The Terms are governed by Romanian law; disputes are settled by the competent Romanian courts.
13.2. If a clause is void, the rest remain in force.
